Pelican Products is looking for aContracts Counselwho will support our executives, sales managers and other employees in the review and negotiation of a wide range of commercial contracts, including master service agreements, statements of work, SaaS related agreements, license agreements, non-disclosure agreements and vendor contracts, among others. Your work will be dynamic, fast-paced, and time-sensitive.

WHAT YOU'LL DO:

  • Drafts, reviews, redlines, negotiates, and finalizes commercial contracts, such as NDAs, purchase/supply agreements, service agreements, license agreements, and other types of contracts.

  • Monitors, manages and modifies contracts on a regular basis, considering changes to the law, industry and/or business practice.

  • Periodically reviews and revises Pelican standard contracts and drafts contracts for specific situations when a standard agreement cannot be use or is not applicable.

  • Provides practical advice directly to Pelican employees, including personnel located throughout the United States and internationally, relating to the implications of proposed contract terms.

  • Manages contract workflow via Pelican’s contract management software and serves as a point of contact for business personnel on all contractual matters.

  • Collaborates with Pelican employees to interpret contracts and resolves disputes related to contractual provisions.

  • Develops and/or revises policies related to contract workflow and review.

  • Creates and updates Pelican training documents to be used in the contract review and negotiation process.

  • Collaborates with other departments to ensure accuracy and completeness of contract documents and compliance with contractual obligations.​​

  • Follows company policies and practices as outlined in the Employee Handbook and/or applicable employment agreement. Follows safety guidelines and procedures in accordance to the job.

  • Performs additional duties as assigned.

    WHAT YOU'LL NEED:

  • J.D. degree from an ABA-approved law school and an active member in good standing of the Bar.

  • Minimum of 3-5 years’ experience practicing law with a focus on contract management (in-house experience preferred).

  • Business-oriented problem-solver who strikes the appropriate balance between facilitating business transactions while managing risks.

  • Demonstrated capabilities in working independently, managing tasks to completion, and delivering high quality results while handling multiple assignments.

  • Exposure to master service agreements, SaaS agreements, and other commercial agreements with complex intellectual property, licensing, indemnity, and liability issues is required.

  • A strong desire to learn the commercial and technical business of Pelican to better identify and manage risks while working to close commercial transactions.

Tasks

  • Analyze the probable outcomes of cases, using knowledge of legal precedents.
  • Advise clients concerning business transactions, claim liability, advisability of prosecuting or defending lawsuits, or legal rights and obligations.

  • Prepare, draft, and review legal documents, such as wills, deeds, patent applications, mortgages, leases, and contracts.
  • Negotiate settlements of civil disputes.
  • Supervise legal assistants.
  • Examine legal data to determine advisability of defending or prosecuting lawsuit.
  • Evaluate findings and develop strategies and arguments in preparation for presentation of cases.
  • Gather evidence to formulate defense or to initiate legal actions, by such means as interviewing clients and witnesses to ascertain the facts of a case.
  • Prepare legal briefs and opinions, and file appeals in state and federal courts of appeal.
  • Search for and examine public and other legal records to write opinions or establish ownership.
  • Confer with colleagues with specialties in appropriate areas of legal issue to establish and verify bases for legal proceedings.
  • Perform administrative and management functions related to the practice of law.
  • Work in environmental law, representing public interest groups, waste disposal companies, or construction firms in their dealings with state and federal agencies.
  • Probate wills and represent and advise executors and administrators of estates.
  • Act as agent, trustee, guardian, or executor for businesses or individuals.
  • Help develop federal and state programs, draft and interpret laws and legislation, and establish enforcement procedures.
