Friedman Real Estate Managements legal department seeks an experienced, Transactional Commercial Real Estate Counsel to provide internal legal support to the company and will report to the General Counsel. Responsibilities include, but are not limited to, drafting, reviewing and negotiating commercial real estate purchase and sale agreements, leases and contracts; reviewing and negotiating loan documents for commercial real estate; supervision of entity management and formation; and assistance with corporate governance matters, closings of financing and other transactions,. This position provides counsel and guidance to all Friedman Real Estate Management functional departments. The Associate General Counsel works closely with business stakeholders, and department heads. Job Duties: Structure, draft, negotiate and review joint venture agreements, contribution agreements, purchase and sale agreements, loan documents, and property management and leasing agreements. Assist with the closing of real estate purchases, sales and financings and coordinate all aspects of the transaction from LOI through closing, including conducting due diligence, monitoring contingencies, conducting title, survey and environmental reviews, preparing title objections, addressing zoning issues, clearing title and survey matters, and preparing conveyancing and closing documents. Prepare and negotiate commercial, retail and professional office lease agreements, amendments, brokerage agreements, service contracts, construction contracts and other agreements. Conduct documentation research of rights, obligations and restrictions contained in existing leases, reciprocal easement agreements and other complex property agreements, and provide both technical and practical analysis and recommendations to internal clients concerning legal issues, including preparation of documentation necessary to secure third party approvals. Assist in management and use of outside counsel on various real estate transactional matters. Assist in addressing various legal issues associated with property management, including fair housing, landlord/tenant and property disputes. Provide legal analysis, strategy, and solutions for various business activities in a legally sound manner that balances risks with achievement of the companys business goals and objectives. Provide advice and support related to legal issues on real estate and leasing matters or arising from Friedman Real Estate Managements commercial real estate portfolio of 250 properties (including owned and managed properties). Qualifications: Be in good standing as an active member of at least one state bar. At least 4-8 years of relevant and progressively responsible transactional and commercial real estate experience at a top law firm or from an in-house corporate setting (commercial real estate transactional experience is required). Proven ability to independently, and on a first-chair basis, structure, draft, negotiate, manage and close sophisticated real estate, development and financing transactions. Ability to multi-task, work independently, lead large projects, adhere to deadlines, and run fast-paced deals under pressure in a dynamic environment. Excellent negotiation, organizational, drafting, communication and interpersonal skills, with an eye toward pragmatic, mutually beneficial outcomes. Knowledge of general corporate matters and contract law, with knowledge of real estate finance and acquisition (including promissory notes, mortgages, title insurance, surveys, loan closing), residential real estate and property management preferred. Work with minimal supervision and demonstrate a sense of urgency. Flexibility and strong analytic and problem-solving ability. Team player with the ability to interact with attorneys, clients, and office staff in a professional manner and build relationships of trust and confidence at all levels of the company. Experience with managing corporate filings, distressed real estate, CMBS loans, Special Servicers, receiverships, bankruptcy, commercial real estate finance , commercial condominium documents, planned unit developments, zoning changes and variances, entitlement procurement, annexation agreements, municipal financing and incentive agreements, subdivision agreements, or development agreements for both retail and mixed-use projects is a plus.
